1. INTRODUCTION

Welcome to Afriinet! Our mission is to connect our customers with approved tradespeople and services providers in their local area. By using our platform, customers can search for, find, and leave reviews for tradespeople or services providers nearby. Customers can also contact tradespeople who have passed our vetting checks (the “Approved Tradespeople” or “Tradesperson”), and Approved Tradespeople can advertise and offer their services to customers.

1.1 Who we are

1.1.1 The platform is provided to you by us, Nima global holdings ltd, trading as “Afriinet”.

1.1.2 For the purposes of these terms, “Afriinet”, “we”, “us” or “our” means Nima global holdings Limited, trading as “Afriinet”. The words “you”, “your” or “user” refer to you, as a user of the platform, whether you are a customer or a tradesperson. The terms “tradesperson” and “tradespeople” “services providers “ refer to any tradesperson who uses our platform. Any terms specifically applicable to a “customer”, “Approved Tradesperson” or “Approved Tradespeople” will be clearly identified as such.

1.1.3 Afriinet operates the platform to: (a) introduce customers and Approved Tradespeople and services providers , acting as an intermediary to match customers with opportunities for home improvement and other services offered by our directory of vetted tradespeople; and (b) allow customers to leave reviews for tradespeople. Afriinet’s responsibility in offering the platform is strictly limited to its role as the operator, and it is not responsible for the quality, standard, delivery, or any other elements of workmanship provided by any tradesperson, services provider or any engagement entered into between a customer and a tradesperson.

1.1.4 If you are a tradesperson or service provider , the terms governing your use of the payment services are detailed in the relevant Product Terms, Master Service Terms, and Membership Terms, as applicable.

1.1.5 These terms of use (“Terms”) establish the framework for how the platform can be utilized and operated. They do not regulate the relationship between a customer and a tradesperson regarding services. Any agreement made between a tradesperson and a customer constitutes a separate contract to which Afriinet is not a party and holds no liability or responsibility.

1.1.7 These Terms outline the rights and obligations of Afriinet, its customers, and tradespeople concerning the platform’s use. It is important to read them thoroughly and reach out to us with any concerns or questions before using the platform. You can contact us directly through our Contact Us page. Please pay special attention to Clauses 5.2 and 7, which detail the basis on which we provide any payment services and important terms that limit or exclude our liability and responsibility regarding the services.

1.2 How to use our Platform

1.2.1 The platform includes not only the website we operate at Afriinet.com and any other domains we may own or control from time to time, but also our apps (for trades and consumers) as well as any web or mobile platforms we host, along with the related pages, sub-domains, tools, content, blogs, and other information or subjects contained therein.

1.2.2 The platform should be used in accordance with all terms, conditions, policies, and other relevant information and guidance that may be in effect from time to time.

1.3 Compliance with terms

1.3.1 Before using the platform, you must carefully read these Terms to ensure you understand what you can expect from us and what we expect from you.


1.3.3 If you are a tradesperson or services provider, your agreement with us for services is referred to as your “Membership Contract.” This is a separate agreement between you and Afriinet that outlines how you become a member of Afriinet, the terms and conditions applicable to your membership, and the membership services we will provide to you. Both these Terms and the Membership Contract will apply to you as a tradesperson.

1.3.4 If at any time you do not agree with or cannot comply with these Terms, you should immediately stop using the platform.

2 NATURE OF USE

2.2 Provision of Platform

2.2.1 The platform is intended for use solely by individuals who can access it from within the Africa. While access may be possible from outside of Africa, the platform is not designed for such use. You may use the platform only for lawful purposes; therefore, you must not use the platform in any manner that violates any applicable local, national, or international law or regulation.


2.3 Security

2.4.1 You are responsible for ensuring the security of any device from which you access your Afriinet account.

2.4.2 If you suspect that someone has accessed the Afriinet platform without your authorization or is attempting to impersonate you (or your business if you are a tradesperson), you should notify us immediately by emailing [email protected] and take any necessary steps to secure your account credentials.

2.4.3 If we believe there may be a security breach or misuse of the Afriinet platform through your account, we may notify you and require you to take specific actions to secure your account, or we may suspend and/or deactivate your account.

2.5 Reporting Concerns

If you believe that any content posted by other users on the Afriinet platform violates our Acceptable Use Policy or any applicable laws, or that your intellectual property rights (including brand misuse) are being infringed by any content on the platform, please report your concerns to [email protected].

3 ACCEPTANCE AND USE

3.1 Use and Matching

3.1.1 On the Afriinet platform, customers can post jobs to find suitable Approved Trades in their area. Customers will need to provide details of the work required, upload any relevant photos to clarify the services needed, and specify timelines for the work.

3.1.2 The platform will match customers with a list of Approved Tradespeople and services providers in their local area who can assist, excluding the search and quote function in certain use cases. This list will feature profiles of Approved Tradespeople, showcasing their ratings, services, and skills.

3.1.3 Customers can submit messages to Approved Tradespeople or services providers and manage their postings within the platform.

3.1.4 All customer requests are subject to acceptance by the Approved Tradesperson or services providers.

3.2 Engagement

3.2.1 In certain areas of the Afriinet platform, you may have the option to submit, upload, or share text, photos, videos, reviews, information, and other materials (collectively referred to as “Your Content”).

3.2.2 You are responsible for ensuring that all of Your Content is accurate, true, up-to-date, genuine, relevant, and appropriate. It must comply with our terms (including these Terms) and all applicable laws in the UK and any other country from which the content is posted or viewed.

3.2.3 We strive to reduce the risk of harm from various types of illegal or harmful content. As such, we reserve the right to monitor and review Your Content and that of other users in accordance with our Acceptable Use Policy, Deactivation and Sanctions Policy, and other guidelines and procedures, which may involve automated systems or artificial intelligence.

3.2.4 We reserve the right to suspend or terminate your account or to remove or edit any of Your Content if you violate applicable laws, these Terms, or any of our other relevant terms and conditions, guidelines, or policies.

3.2.5 By continuing to use the platform, you acknowledge and accept that, unless otherwise stated, any content on the platform has not been verified or approved by us.

3.2.6 We also reserve the right, in a reasonable manner, to disclose your identity to any third party claiming that Your Content infringes their intellectual property rights or privacy rights. We are not responsible or liable to any third party for the content or accuracy of Your Content posted by you or any other user on the platform.

3.2.7 We do not guarantee that Your Content will remain on the platform for any specific duration and reserve the right to remove Your Content at our discretion.

4 SERVICES

4.1 Connecting Customers and Tradespeople

4.1.1 We provide the Afriinet platform to facilitate communication between customers and Approved Tradespeople or services providers.

4.1.2 As a customer, if you choose to use a service from tradespeople on the Afriinet platform, your contract for those services is directly with those tradespeople or service providers. Afriinet is not a party to any contract between customers and tradespeople, nor will we be liable for any direct, indirect, or consequential loss or damage arising out of, or in connection with, that contract or a customer’s decision to contact or use any tradespeople sourced via the platform.

4.1.3 Afriinet utilizes a search ranking algorithm to match customer search requests with Approved Tradespeople. We strive to ensure that our search ranking results are fairly distributed among Approved Tradespeople or services providers on the platform using a combination of the following (non-exhaustive) criteria relevant to Approved Tradespeople: (i) quality and content of an Approved Tradesperson’s profile, (ii) reviews, (iii) localized supply and demand, (iv) alignment with customer search criteria regarding location and trade category, and (v) market and environmental factors. If you are an Approved Tradesperson, your Membership Contract provides further details on this process.

4.1.4 When receiving a quote from an Approved Tradesperson on the platform, customers have the freedom to accept or decline it.

4.1.5 To the extent legally permitted, Afriinet is not liable for any theft or loss of property related to services provided by tradespeople, any loss, damage, expenses, or liabilities incurred by any party in connection with the use of the platform, any loss resulting from errors, circumstances beyond our control, or any other loss, cost, damage, or liability incurred directly or indirectly from the use of tradespeople sourced via the platform.

4.1.6 You acknowledge that Afriinet…

4.3 Profile

4.3.1 While we strive to verify the statements and information submitted by the public and users, the information compiled by Afriinet regarding tradespeople and its Approved Tradespeople is based on data provided by various individuals and businesses. This information does not reflect the views of Afriinet, and we cannot be held responsible for any omissions or inaccuracies that may occur.

4.3.2 Afriinet gathers recommendations from the public and users concerning tradespeople and its Approved Tradespeople, as well as the services they offer (“Recommendations”). We take steps to verify the credentials and company status of our Approved Tradespeople (“Vetting”) and collect feedback from customers regarding their experiences with Approved Tradespeople (“Monitoring”).

4.3.3 The outcomes of the Recommendations are published on the platform as part of a tradesperson’s profile. Additionally, the Vetting and Monitoring processes for Approved Tradespeople are detailed on the platform within their profiles. Afriinet aims to:

– Enhance the accountability and credibility of its tradespeople by publishing impartial feedback on their work.
– Promote quality service, workmanship, and best practices among its Approved Tradespeople or services providers.
– Highlight its Approved Tradespeople to the public while isolating rogue traders.


4.5 Trade Specific

4.5.1 The terms outlined in your Membership Contract are applicable to your ongoing use of the Afriinet platform, in addition to these Terms.

4.5.2 You authorize us to collect information about you in relation to your use of the platform and to disclose this information to tax authorities or other governmental or regulatory bodies if requested or as mandated by law, in order to comply with our legal or regulatory obligations.

4.5.3 In providing the platform, Afriinet acts solely as an intermediary and shall be regarded as a disclosed agent for tax-related matters.

4.6 Customer Reviews

4.6.1 As a customer, you are encouraged to leave reviews on the platform regarding the services provided by a tradesperson or service provider In doing so, you must ensure that your review is not misleading, offensive, in violation of any laws, infringing on the rights of others, and complies with our Acceptable Use Policy.

4.6.2 Your review should reflect your own personal experience, which you have not been compensated for or incentivized to provide. Marketing-related reviews or using our platform for promotional purposes regarding yourself, products, services, or other businesses is prohibited.

4.6.3 Your review must not include any personal information about any third party.

4.6.4 You must refrain from submitting, writing, or facilitating fake reviews that do not accurately represent your experience with a tradesperson or are intended to manipulate consumer perception or unfairly target a particular business or service. Engaging in such behavior will lead to immediate suspension of your account.

4.6.5 We will conduct various checks on the reviews submitted on the platform to ensure their authenticity, and we reserve the right to screen, edit, or remove any reviews at our discretion.

4.6.6 If your review is removed, you will be notified accordingly.

5 QUOTING AND INVOICING

5.1 Quotes

5.1.1 Approved Tradesperson can send them to customers quote either through the in-platform messaging service or via email with a link to the PDF hosted on the platform. If a customer does not receive a quote as expected, they should directly contact the relevant Approved Tradesperson.

5.1.2 Quotes are prepared at the discretion of the Approved Tradesperson and typically include customer details, a breakdown of the scope of work, and related pricing. The customer is solely responsible for accepting, declining, requesting edits, or asking any further questions to the Approved Tradesperson.

5.1.3 An Approved Tradesperson may amend a quote at any time and send the revised version to the customer.

5.1.4 Afriinet encourages both customers and Approved Tradespeople to utilize the in-platform messaging service to keep all communications organized, ensuring completeness and easy access.

5.1.5 When accepting a quote, it is recommended that customers and Approved Tradespeople formalize an agreement in writing, clearly outlining the scope of work, timelines, deliverables, and any agreed costs.

5.1.6 The contents of the quote and any subsequent interactions related to the quote or pricing displayed within it are strictly between the customer and the tradesperson and are not endorsed or approved by Afriinet.

5.2 Approved Tradespeople Invoicing, Amounts Payable, and Payment Service Provider

5.2.1 Once a quote has been accepted, the customer is responsible for making the payment directly to the Approved Tradesperson or services providers. Afriinet only accepts payments through external platforms for subscription fees from trader users who have their listings on our platform. All transactions between traders and customers must be conducted outside of Afriinet, ensuring that we act solely as an intermediary in facilitating the connection between customers and tradespeople.

6 PLATFORM CONTENT

6.1 Intellectual Property

6.1.1 All rights associated with the Afriinet platform and its content, including but not limited to the platform’s design, text, graphics, images, logos, digital downloads, audio, video, data, software, and source codes, remain the exclusive property of Afriinet.

6.1.2 By accessing the platform, you are granted a personal, revocable, non-exclusive, non-transferable license to use the platform solely for your personal and, if you are a customer, non-commercial purposes in accordance with these Terms.

6.1.3 All trademarks, service marks, logos, and graphical elements of the platform, whether registered or unregistered, are distinctive and protected trademarks of Afriinet and/or our licensors. The platform may also include various third-party trademarks, which are the property of their respective owners. Nothing in these Terms grants you a license or right to use any of these trademarks without the permission of Afriinet or the respective third-party owner.

6.1.4 You retain all ownership rights, including intellectual property rights, in Your Content. By uploading Your Content to the Afriinet platform, you represent and warrant that you are the owner or licensor of Your Content, that you possess all necessary rights to all components of Your Content, and that uploading it does not infringe or violate any third party’s rights. You grant Afriinet (and our authorized third parties) a worldwide, perpetual, non-exclusive, royalty-free, transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform Your Content in connection with the platform across various media outlets (including to operate, improve, and promote the platform and/or our services), without any payment to you.

6.1.5 To the fullest extent permitted by applicable law, you waive your moral rights in Your Content and agree not to assert such rights or any other intellectual property rights you may have.

6.2 Copyright

6.2.1 Afriinet owns all rights to the platform, and your use of the platform is subject to the following restrictions. You must not:

– copy the platform unless such copying is incidental to normal use or necessary for backup or operational security;
– sub-license or otherwise make the platform available in whole or in part (including object and source code) to any person without our prior written consent;
– reproduce, modify, edit, or exploit the platform in any way for commercial purposes without our prior written consent; or
– disassemble, decompile, reverse-engineer, or create derivative works based on the whole or any part of the platform or attempt to do any of these things.

6.3 Third Party Links

6.3.1 The platform (and emails we send to you in connection with the platform) may include links to third-party websites, applications, and/or other digital properties controlled and maintained by third parties.

6.3.2 If you decide to visit any third-party sites, assets, or offerings, or use a service made available through third-party sites, assets, or offerings, you acknowledge sole responsibility for and assume all risks arising from your use of such websites or resources. It is your responsibility to verify the reputation of the relevant third party and the services they offer.

6.3.3 We are not responsible for the content, accuracy, or opinions expressed on third-party sites, assets, or offerings.

6.3.4 Links we provide do not imply any affiliation or association between us or the platform and such websites or services, and we will not be a party to any transaction between you and a third party.

8 ACCOUNT

8.1 Our Rights of Termination and Suspension

8.1.1 You acknowledge and agree that we are not obligated to continue providing the platform. Therefore, we reserve the right to modify or terminate all or part of the platform (including any services offered through it) and/or to restrict access to any part of the platform for any reason and at any time at our discretion.

8.1.2 We may also suspend or terminate your account or revoke your right to use and access the platform at our discretion if you violate or threaten to violate these Terms.

8.1.3 If you are a tradesperson, your Membership Contract includes additional details regarding our rights to terminate or suspend your membership.

8.1.4 We may terminate accounts that have been inactive or any unverified/unconfirmed accounts that have remained inactive or unverified for a period of one year or more.

8.1.5 In the event that we terminate or suspend your account, we will not be liable to you or any third party.

8.1.6 Upon termination, any rights granted to you under these Terms will immediately cease, and any of our rights or remedies that have accrued up to the date of termination, including the right to seek damages for any breach of the Terms that occurred prior to termination, will remain unaffected.

8.2 Your Rights of Cancellation and Deletion

8.2.1 If you are a customer, you may cease using the platform at any time, and you can delete your account whenever you wish by using the “Delete your Account” function in the account section of the app or website. Using this function will result in the immediate deletion of your account. Certain account information will be retained in accordance with our Privacy Notice and related data retention policies. Once your account is deleted, it will be permanently removed.

9 MISCELLANEOUS

9.1 Notice

9.1.1 We may update these Terms periodically to reflect changes in the Afriinet platform, including but not limited to our technology, licensing agreements, payment policies, best practices, applicable laws, and regulatory requirements.

9.1.2 We will notify you of any significant changes to these Terms (for instance, changes that substantially affect how you receive services through the Afriinet platform), unless such changes are urgently necessary to comply with legal or regulatory obligations or for security purposes.

9.1.3 We may also make updates to the Afriinet platform from time to time, altering content and functionality as needed without prior notice to you (for example, to adapt to changes in our services, business requirements, or the needs of our users).

9.2 Method

The updated Terms will be made available on the Afriinet platform, and we may notify you via email. If you continue to use the platform, we will assume that you accept any modifications made to these Terms. If you do not agree with the changes, you should cease using the platform and delete your account.

9.3 Force Majeure

There are instances when events beyond our control occur, such as natural disasters, pandemics, strikes, technical issues, or supply disruptions. In such cases, our ability to fulfill obligations under these Terms may be suspended for the duration of the event. During this time, we will not be liable for any delays or failures in performing our obligations under these Terms due to these circumstances. We will make reasonable efforts to find solutions to fulfill our obligations and take preventive measures wherever feasible.

9.4 Third Party Rights

No individual or entity other than us or you has any rights under these Terms.


9.5 Waiver

If we do not insist on strict compliance with your obligations at any time or if we fail to exercise any right or remedy available under these Terms, this does not mean we are waiving our rights or remedies, nor does it relieve you from fulfilling your obligations. Any waiver of any provision within these Terms will only be effective if it is in writing and signed by us.

9.6 Severance and Survival

9.6.1 If any part of these Terms is found to be invalid, illegal, or unenforceable by a competent court, that part will be removed, and the remaining Terms will continue to be valid, enforceable, and in full effect.

9.6.2 The following clauses will continue to apply even after the termination of these Terms: Clauses 3.1, 3.2.6, 3.2.9, 3.3, 4.1.1, 4.1.6, 4.5.2, 5.3, 6.1.1, 6.1.3, 6.1.4, 6.1.5, 7, 8.1.6, 9.6.2, 9.9, 9.10, and 9.11.

9.7 No reliance

You confirm that you entered into these Terms without relying on any representation made by us, except for those explicitly stated in these Terms.

9.8 Assignment

We reserve the right to assign any of our rights and transfer, delegate, or subcontract any of our obligations under these Terms. If this happens, we will notify you, and you can choose to stop using the platform and delete your account if you are not satisfied.

9.9 Jurisdiction

These Terms and any disputes or claims arising from or related to them, including their subject matter or formation (such as non-contractual disputes or claims) (a “Claim”), will be governed by and interpreted in accordance with the laws of England and Wales.

9.10 Disputes

If a dispute arises between you and Afriinet, we encourage you to first reach out to us directly, as outlined in Clause 10 of these Terms, to seek a resolution. For tradespeople, your Membership Contract includes details on dispute resolution options like mediation.

9.11 Courts

For tradespeople, the courts of England and Wales will have exclusive jurisdiction to resolve any Claim. For customers, you can bring Claims against us in the courts of England and Wales, regardless of where you live. If you reside in Scotland or Northern Ireland, you may also bring Claims against us in the courts of your respective country. We can bring a Claim against you in the courts of the country where you reside.
